Subscription and Auto-Renewal Agreement

DreamCrafters Limited (hereinafter referred to as "We", "Us", or "Company") kindly reminds you to carefully review this Somni iOS Subscription and Auto-Renewal Agreement (hereinafter referred to as "this Agreement") before subscribing to Somni's premium features.

It is important that you fully understand its terms, as they may affect your rights and interests, including but not limited to the obligations of Somni, your rights, and provisions on dispute resolution and governing law.

By registering for a Somni subscription, entering the purchase process, clicking to confirm, or otherwise using the services covered by this Agreement, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

If you do not accept any of the terms, please do not proceed with the purchase or use the related services.

This Agreement governs all matters related to:

• Somni Premium subscription services
• The automatic renewal subscription service (collectively referred to as "the Service")

This Agreement is a supplementary document to the Somni Terms of Use and Privacy Policy, and forms an integral part of them.

Any additional subscription-related rules or guidelines issued by Somni also form part of this Agreement.

1. Service Provider and Definitions

1.1 Service Provider

Somni is a service created and operated by DreamCrafters Limited.

1.2 Users and Subscribers

• "Somni Users" are individuals who have successfully registered, agreed to the Terms of Service and Privacy Policy, and use Somni’s services in compliance with all applicable policies and rules.
• "Subscribers" are Somni Users who have additionally purchased and activated Somni Premium Subscription under this Agreement.

1.3 Nature of the Service

Somni Premium Subscription is a paid value-added service. You must agree to this Agreement and complete payment before you can access Somni Premium benefits.

2. Subscription Services and Fees

2.1 Subscription Plans and Benefits

Somni Premium Subscription is a paid service. The specific pricing and benefits are subject to the latest announcements within the Somni iOS app and the purchase page at the time of your subscription.

2.2 Pricing and Billing Cycle

The specific pricing, billing cycle, and benefits of each Somni Premium plan are subject to the latest information displayed in the Somni app or on the purchase page at the time of your subscription.

All payments are processed through Apple's in-app purchase system.

2.3 Where You Can Subscribe

On iOS, you can subscribe to Somni Premium via Apple’s in-app purchase system (using your Apple ID / App Store).

2.4 Viewing Subscription Status

You can check your current Somni Premium status, remaining validity period, and other subscription details at any time by navigating to: Somni App → My Account → Subscription/Premium.

3. Auto-Renewal and iOS Billing

3.1 Auto-Renewing Subscriptions (Required iOS Wording)

• Payment will be charged to your Apple ID account at the confirmation of purchase.
• Your Somni Premium subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
• Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period, at the price shown at the time of renewal.
• You can manage and cancel your subscriptions after purchase by going to Settings → [Your Name] → Subscriptions on your iOS device.
• If a free trial is offered, any unused portion of a free trial period will be forfeited when you purchase a Somni Premium subscription.

3.2 Authorization for Auto-Renewal

By subscribing and enabling Auto-Renewal, you authorize Apple to automatically charge the Somni Premium subscription fee for the next billing period to your linked Apple ID payment method, unless and until you cancel.

3.3 Responsibility for Payment

You are responsible for ensuring that your Apple ID payment method is valid and has sufficient funds or credit for the renewal.

Any failure to renew due to issues with your payment method (such as expiration or insufficient funds) shall be your sole responsibility.

3.4 Effect of Non-Cancellation

If you do not cancel your subscription at least 24 hours before the end of the current billing period, your subscription may be automatically renewed and the subscription fee will be charged for the next period.

Once charged, such fees are generally non-refundable, except as required by applicable law or as provided in Article 8.

4. Activation, Validity, and Cancellation

4.1 Activation and Validity

Your Somni Premium Subscription will be activated immediately after successful payment, and the validity period will run according to the plan you selected (e.g., weekly, monthly, or annual).

You can view the validity period in Somni App → My Account → Subscription/Premium.

4.2 Cancellation on iOS (Apple ID)

To cancel an auto-renewing Somni Premium subscription on iOS, you must use your Apple ID account:

1. Open Settings on your iOS device.
2. Tap [Your Name] → Subscriptions.
3. Select the Somni subscription.
4. Tap Cancel Subscription or turn off Auto-Renewal.

Deleting the Somni app or deleting your Somni account does not automatically cancel your iOS subscription.

You must cancel it through Apple’s subscription management system.

4.3 Effect of Cancellation

Unless otherwise required by law, your cancellation will take effect at the end of the current billing period.

You will continue to have access to Somni Premium features until the end of the paid period, and the subscription will not renew afterwards.

5. Subscriber Rights, Obligations, and Prohibited Conduct

• Personal Use: Somni Premium is for your personal, non-commercial use only and may not be transferred, sold, lent, or shared without Somni's explicit consent.
• Account Security: You must keep your account and password secure and are solely responsible for all activities that occur under your account.
• Lawful Acquisition: You must not obtain Somni Premium through illegal means (fraud, exploiting system bugs, unauthorized resellers, etc.).
• Prohibited Actions: You must not modify, crack, resell, or publicly display Somni Premium content without authorization.
• Consequences of Violation: If you violate this Agreement, platform rules, or applicable laws, Somni may restrict or terminate your Somni Premium Subscription and/or account without refund. You may also be held liable for damages.

6. Liability and Service Interruptions

Somni will use commercially reasonable efforts to keep the Somni Premium Subscription Services running normally, but does not guarantee that the Service will be free from interruptions or errors at all times.

To the maximum extent permitted by law, Somni is not liable for indirect, incidental, consequential, or unforeseeable losses arising from service interruptions or errors, except as otherwise required by mandatory local law.

If the Service is interrupted or affected due to force majeure (such as natural disasters, wars, government actions, major network failures, or technical incidents), Somni is not responsible for resulting losses but will take reasonable measures to reduce the impact on users where feasible.

7. Refund Policy

7.1 General Policy

• As a general rule, all purchases of Somni Premium are final and non-refundable, unless otherwise required by applicable law or explicitly stated at the time of purchase.
• We ordinarily do not provide refunds or credits for partially used subscription periods.
• If your account is disabled or terminated for violating platform rules or this Agreement, you are not entitled to a refund, except where mandatory law provides otherwise.

7.2 Region-Specific Rights

• European Union (EU), European Economic Area (EEA), United Kingdom (UK), and Switzerland: You are entitled to a full refund within 14 days of your subscription start date, as mandated by local consumer protection laws. To exercise this right, you must formally notify us of your decision to cancel.
• United States (Certain States):

• California, Iowa, Minnesota, North Carolina, Virginia, Wisconsin, and other states with similar consumer protection laws: You may cancel your subscription at any time, and if you cancel within three (3) business days of the subscription date (or longer if provided by law), you will receive a full refund.
• Death or Incapacity: If you pass away before the subscription term ends, your estate may request a refund for the unused, unaccused portion of your subscription. If you become incapacitated and are unable to continue using Somni services, you are entitled to a refund for the unused portion by submitting a request. Such requests will require appropriate documentation.

7.3 How to Request a Refund (For Purchases via Apple ID)

For all subscriptions purchased through your Apple ID, All billing and refund requests for subscriptions purchased via Apple ID are handled by Apple. Somni does not have the ability to issue refunds for such purchases.

1. Go to Settings > iTunes & App Store.
2. Tap [Your Apple ID] > View Apple ID.
3. Tap Purchase History.
4. Locate the transaction and tap Report a Problem.
5. Alternatively, you can visit Apple Support and follow their process to request a refund.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by [Specify the dispute resolution method and venue, e.g., mandatory arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration to take place in [City, State]; or through the courts of England and Wales].

9. Miscellaneous

• Entire Agreement: This Agreement, and any policies referenced herein (such as the Privacy Policy), constitute the entire agreement between you and Somni regarding the Subscription Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.
• Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
• Notices: Any notices related to this Agreement may be provided through in-app notifications, email to the address associated with your account, or by posting on the Somni website.
